Latitude is seeking a corporate attorney with extensive SEC filings and corporate governance experience to work on part-time assignment with the legal department of our public company client. Applicants must have experience advising on 33 and 34 Act public company SEC filings (Forms 10-K, 10-Q, and 8-K), preparing proxy statements and organizing and resourcing meetings of the board of directors. Candidates may work remotely from any location in the United States. Prior experience working in the corporate practice group of an Am Law 200 firm, or in the corporate legal department of a major corporation, is preferred.<br><br><strong>Requirements for the Securities & Governance Counsel - Fractional Role Remote:<br><br></strong><ul><li>4+ years of sophisticated corporate experience</li><li>Experience with 33 and 34 Act public company quarterly filings</li><li>Excellent academic credentials</li><li>Outstanding references</li><li>Licensed and in good standing in state of residence<br><br></li></ul><strong>Position Details for the Securities & Governance Counsel - Fractional Role Remote:<br><br></strong><ul><li>Type of Role: Engagement, 4+- months, starting late Dec or early Jan</li><li>Schedule: Part-time (20+- hours/week, flexible)</li><li>Location: Remote<br><br></li></ul><strong>Compensation<br><br></strong>The annualized compensation for this position (as-if full-time) ranges from $170,000 to $200,000 or more. Pay is based on numerous factors including but not limited to work experience, qualifications, credentials and location. In addition to salary, Latitude Engaged Professionals are W2 employees of Latitude and are eligible for full benefits when working in roles for 20 hours per week, including a Qualified 401k plan. Benefits-eligible Latitude employees receive complimentary Group Life, LTD and AD&D and professional liability insurance.
