Atlanta Based In-House Corporate Counsel (Primarily Remote, Contract) Join Latitude Legal as an in‑house corporate counsel to support an elite private equity firm in Atlanta, Georgia. This is a contract position, primarily remote, with occasional on‑site visits. Required Experience Drafting, reviewing and negotiating commercial contracts and NDAs Providing guidance on issues related to investment funds Advising private equity companies on compliance with corporate policies and procedures Preparing and/or reviewing Limited Partner Advisory Committee materials, incumbency certificates, resolutions and written consents Reviewing marketing materials, including slide decks to ensure compliance with the law Overseeing/managing a list of securities that a company is restricted from trading and monitoring material non‑public information Collaborating with firm/company non‑legal departments to ensure a company’s strategies are implemented smoothly Overseeing compliance with investment restrictions and anti‑money laundering/know your customer regulations during transactions Preparing Section 16 filings and Form 13Gs Experience as an associate, counsel or partner in a transactional practice group of a sophisticated corporate law firm is strongly preferred Experience as a transactional corporate in‑house counsel and/or working on legal matters for a private equity firm is preferred Excellent academic credentials from a U.S. accredited law school Licensed and in good standing in any state Outstanding references Position Details Type of Role: Contract Schedule: Part‑Time (approximately 25 to 30 hours) Start Date: As soon as available Location: Remote; ability to work on‑site at the Firm’s Atlanta office when needed Compensation The annualized compensation for this position ranges from $400,000 to $450,000 or more. Pay is based on numerous factors including work experience, qualifications, credentials and location. Latitude attorneys are W2 employees of Latitude and are eligible for full benefits when working in roles for 20 hours per week, including a qualified 401(k) plan, group life, LTD and AD&D, professional liability insurance, and a CLE and professional expense stipend.
